The USPES JVA PARTNER would CLEAR the three notes, as stipulated in the NOTE, using commerce.
Proceeds from the first NOTE would be used to redeposit $20,000 into the INSTITUTION business account, plus pay the $1,980,000 credit used.
Proceeds from the second NOTE would be used to pay $1 Million for the reconstruction, plus deposit $1 Million profit into the INSTITUTION business account.
Proceeds from the third NOTE would be retained as earnings by the JVA.
